• due diligence on Luxembourg companies and coordination of due diligence abroad;
• negotiation and drafting of letters of interest, confidentiality agreements, term sheets, shareholders’ agreements, articles of incorporation and mergers corporate documentation, asset purchase agreements and any other corporate or contractual documentation;
• regulatory aspects;
• financing structures such as negotiation of loan documentation, surety, legal opinions; and
• employment aspects including transfer of undertaking, stock options and other incentive plans.
